Share Saving Program 2025/2028 (inactive)

At the annual general meeting of the shareholders of HMS on April 23, 2024, it was resolved to introduce a share saving program for all employees.

Participants are offered the opportunity to invest between 1% and 6% of their annual fixed gross salaries in shares in the HMS Networks AB at the market price listed on NASDAQ OMX Stockholm ("Savings shares").

The investment will take place in 2025. Under the condition that the Savings shares are held during the period up to December 31, 2028 and that the participant remains in the employment of the Group on this date, each Savings share entitles the participants to receive a maximum of two (2) shares in the Company at no cost ("Performance share"). The Performance shares are based on certain performance conditions being met.

Upon fulfillment of the performance conditions Performance shares are received within 60 days following the publication of the year-end report for 2028.

Share Saving Program 2024/2027 (active)

At the annual general meeting of the shareholders of HMS on April 25, 2023, it was resolved to introduce a share saving program for all employees.

Participants are offered the opportunity to invest between 1% and 6% of their annual fixed gross salaries in shares in the HMS Networks AB at the market price listed on NASDAQ OMX Stockholm ("Savings shares").

The investment will take place in 2024. Under the condition that the Savings shares are held during the period up to December 31, 2027 and that the participant remains in the employment of the Group on this date, each Savings share entitles the participants to receive a maximum of two (2) shares in the Company at no cost ("Performance share"). The Performance shares are based on certain performance conditions being met.

Upon fulfillment of the performance conditions Performance shares are received within 60 days following the publication of the year-end report for 2027.

At the annual general meeting of the shareholders of HMS on April 21, 2022, it was resolved to introduce a share saving program for all employees.

Participants are offered the opportunity to invest between 1% and 6% of their annual fixed gross salaries in shares in the HMS Networks AB at the market price listed on NASDAQ OMX Stockholm ("Savings shares").

The investment will take place in 2023. Under the condition that the Savings shares are held during the period up to December 31, 2026 and that the participant remains in the employment of the Group on this date, each Savings share entitles the participants to receive a maximum of two (2) shares in the Company at no cost ("Performance share"). The Performance shares are based on certain performance conditions being met.

At the annual general meeting of the shareholders of HMS on 23 April 2021, it was resolved to introduce a share saving program for all employees.

Participants are offered the opportunity to invest between 1% and 6% of their annual fixed gross salaries in shares in the HMS Networks AB at the market price listed on NASDAQ OMX Stockholm ("Savings shares").

The investment will take place in 2022. Under the condition that the Savings shares are held during the period up to 31 December 2025 and that the participant remains in the employment of the Group on this date, each Savings share entitles the participants to receive a maximum of two (2) shares in the Company at no cost ("Performance share"). The Performance shares are based on certain performance conditions being met.

Upon fulfillment of the performance conditions Performance shares are received within 60 days following the publication of the year-end report for 2025.

Share Savings Program 2021/2024 (active)

At the annual general meeting of the shareholders of HMS on 23 April 2020, it was resolved to introduce a share saving program for all employees.

Participants are offered the opportunity to invest between 1% and 6% of their annual fixed gross salaries in shares in the HMS Networks AB at the market price listed on NASDAQ OMX Stockholm ("Savings shares").

The investment will take place in 2021. Under the condition that the Savings shares are held during the period up to 31 December 2024 and that the participant remains in the employment of the Group on this date, each Savings share entitles the participants to receive a maximum of two (2) shares in the Company at no cost ("Performance share"). The Performance shares are based on certain performance conditions being met.

Upon fulfillment of the performance conditions Performance shares are received within 60 days following the publication of the year-end report for 2024.

Future incentive plans

Subject to the decision of the general meeting the Company may launch new share based incentive plan in the future.
