HMS has the following incentive plans:

 

Share Savings Program 2021/2024 (not active)

At the annual general meeting of the shareholders of HMS on 23 April 2020, it was resolved to introduce a share saving program for all employees.

Participants are offered the opportunity to invest between 1% and 6% of their annual fixed gross salaries in shares in the HMS Networks AB at the market price listed on NASDAQ OMX Stockholm ("Savings shares").

The investment will take place in 2021. Under the condition that the Savings shares are held during the period up to 31 December 2024 and that the participant remains in the employment of the Group on this date, each Savings share entitles the participants to receive a maximum of two (2) shares in the Company at no cost ("Performance share"). The Performance shares are based on certain performance conditions being met.

Upon fulfillment of the performance conditions Performance shares are received within 60 days following the publication of the year-end report for 2024.

Share Savings Program 2020/2023 (active)

At the annual general meeting of the shareholders of HMS on 25 April 2019, it was resolved to introduce a share saving program for all employees.

Participants are offered the opportunity to invest between 1% and 6% of their annual fixed gross salaries in shares in the HMS Networks AB at the market price listed on NASDAQ OMX Stockholm ("Savings shares").

The investment will take place in 2020. Under the condition that the Savings shares are held during the period up to 31 December 2023 and that the participant remains in the employment of the Group on this date, each Savings share entitles the participants to receive a maximum of two (2) shares in the Company at no cost ("Performance share"). The Performance shares are based on certain performance conditions being met.

At the annual general meeting of the shareholders of HMS on 25 April 2018, it was resolved to introduce a share saving program for all employees.

Participants are offered the opportunity to invest between 1% and 6% of their annual fixed gross salaries in shares in the HMS Networks AB at the market price listed on NASDAQ OMX Stockholm ("Savings shares").

The investment will take place in 2019. Under the condition that the Savings shares are held during the period up to 31 December 2022 and that the participant remains in the employment of the Group on this date, each Savings share entitles the participants to receive a maximum of two (2) shares in the Company at no cost ("Performance share"). The Performance shares are based on certain performance conditions being met.

Share Saving Program 2018/2021 (active)

At the annual general meeting of the shareholders of HMS on 26 April 2017, it was resolved to introduce a share saving program for all employees.

Participants are offered the opportunity to invest between 1% and 6% of their annual fixed gross salaries in shares in the HMS Networks AB at the market price listed on NASDAQ OMX Stockholm ("Savings shares").

The investment will take place in 2018. Under the condition that the Savings shares are held during the period up to 31 December 2021 and that the participant remains in the employment of the Group on this date, each Savings share entitles the participants to receive 1 share in the Company at no cost ("Matching share").

The participants may also receive an additional share in the Company per Savings share, on the condition that special performance conditions are fulfilled ("Performance share").

Both Matching and Performance shares are received within 60 days following the publication of the year-end report for 2021.

Share Saving Program 2017/2020 (active)

At the annual general meeting of the shareholders of HMS on 28 April 2016, it was resolved to introduce a share saving program for all employees.

Participants are offered the opportunity to invest between 1% and 6% of their annual fixed gross salaries in shares in the HMS Networks AB at the market price listed on NASDAQ OMX Stockholm ("Savings shares").

The investment will take place in 2017. Under the condition that the Savings shares are held during the period up to 31 December 2020 and that the participant remains in the employment of the Group on this date, each Savings share entitles the participants to receive 1 share in the Company at no cost ("Matching share").

The participants may also receive an additional share in the Company per Savings share, on the condition that special performance conditions are fulfilled ("Performance share").

Both Matching and Performance shares are received within 60 days following the publication of the year-end report for 2020.

Future incentive plans

Subject to the decision of the general meeting the Company may launch new share based incentive plan in the future.
